By accessing and using PropSheet's FSA Compliance services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access or use our Service. These Terms apply to all users, including food businesses, team members, and visitors to our website.

PropSheet is operated by PropSheet ("we", "us", "our"), a UK-based company. By using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Service Description

PropSheet provides a comprehensive FSA Compliance platform designed for UK food businesses, including but not limited to:

• Restaurants and cafes
• Food retailers and supermarkets
• Catering companies
• Food manufacturers
• Bakeries, butchers, and specialty food businesses
• Takeaways and food trucks

Our Service includes:

• Sensor integration for automatic data collection
• Digital forms for FSA and SFBB compliance
• Automated audit trail generation
• External reporting and third-party integrations
• Team workflow and task assignment
• Real-time compliance alerts and notifications
• Mobile applications for iOS and Android
• Compliance analytics and reporting tools
• Timestamped, tamper-proof compliance logs

3. User Accounts and Registration

To use PropSheet as a business owner or administrator, you must:

• Be at least 18 years of age or have the legal capacity to enter into contracts
• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your account credentials
• Accept responsibility for all activities that occur under your account
• Promptly notify us of any unauthorized access or security breaches

You are responsible for all activities that occur under your account, whether authorized by you or not. We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activities.

4. Subscription Plans and Pricing

PropSheet offers the following subscription plans:

• Starter Plan: Available forever with essential features, including basic digital forms, manual record keeping, and basic audit trail. No credit card required.
• Professional Plan: £49 per month, including sensor integration, automated data collection, complete audit trail, external reporting, and priority support.
• Enterprise Plan: Custom pricing for large businesses, including unlimited sensors, advanced analytics, custom integrations, and dedicated support.

Important:

• We provide transparent pricing with no hidden fees.
• All subscription fees are billed in advance on a monthly basis.
• Prices are in British Pounds (GBP) and may be subject to applicable taxes.
• We reserve the right to modify pricing with 30 days' advance notice to existing subscribers.
• Free plan users are not subject to price changes.

5. Payment Terms

For paid subscription plans:

• Payments are processed securely through Stripe, our third-party payment processor.
• By subscribing to a paid plan, you authorize us to charge your payment method on a recurring monthly basis.
• Subscription fees are non-refundable except where required by law or at our sole discretion.
• If payment fails, we will attempt to retry the payment. Your subscription may be suspended if payment cannot be processed.
• You can upgrade, downgrade, or cancel your subscription at any time from your account settings.
• Downgrades take effect at the end of your current billing period. Upgrades take effect immediately, and charges will be prorated.
• Upon cancellation, you retain access to paid features until the end of your billing period.
• Delinquent accounts may be suspended or terminated after reasonable notice.

6. Acceptable Use Policy

You agree not to:

• Use the Service for any illegal, fraudulent, or unauthorized purposes
• Violate any applicable laws, regulations, or third-party rights
• Interfere with or disrupt the Service, servers, or networks connected to the Service
• Attempt to gain unauthorized access to any portion of the Service, accounts, or systems
• Share, transfer, or sell your account credentials to others
• Use automated systems (bots, scrapers) to access the Service without permission
• Transmit any viruses, malware, or harmful code
• Collect or harvest information about other users without their consent
• Impersonate any person or entity or misrepresent your affiliation with any entity
• Use the Service to send spam, unsolicited messages, or harass others

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund.

7. Compliance Data and Records

When using PropSheet for FSA compliance:

• You are responsible for maintaining accurate compliance records and completing all required forms.
• You must ensure sensor data is properly configured and accurately reflects your food safety practices.
• You are responsible for ensuring all compliance forms are completed accurately and on time.
• You must maintain audit trails and compliance logs as required by FSA regulations.
• You are responsible for complying with all applicable FSA regulations and food safety laws.
• Compliance data collected through the Service belongs to you, but you must comply with data protection laws (including GDPR) when handling this data.

PropSheet acts as a service provider and is not responsible for your compliance with FSA regulations. You are solely responsible for ensuring your food business meets all FSA compliance requirements.

8. Data Protection and Privacy

Your use of PropSheet is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, store, and protect your data and the data of your customers.

As a data controller for your customer data, you are responsible for:

• Complying with applicable data protection laws, including GDPR
• Obtaining necessary consents from customers for data collection and processing
• Handling customer data requests (access, deletion, correction) in accordance with applicable laws
• Implementing appropriate security measures for your account and data

9. Intellectual Property

Your Content: You retain ownership of all data, content, and information you submit to PropSheet ("Your Content"). By using our Service, you grant PropSheet a limited, non-exclusive, worldwide, royalty-free license to use, store, process, and display Your Content solely for the purpose of providing and improving our Service.

PropSheet's Property: The Service, including all software, designs, text, graphics, logos, and other content, is owned by PropSheet or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our Service without our express written permission.

Trademarks: "PropSheet" and related logos are trademarks of PropSheet. You may not use our trademarks without our prior written consent.

10. Service Availability and Modifications

We strive to provide reliable and continuous service, but we do not guarantee that the Service will be available 100% of the time. The Service may be unavailable due to:

• Scheduled maintenance and updates
• Unforeseen technical issues or outages
• Force majeure events beyond our control

We reserve the right to:

• Modify, suspend, or discontinue any part of the Service at any time
• Add, remove, or modify features and functionality
• Impose usage limits or restrictions

11. Limitation of Liability

To the maximum extent permitted by law:

• PropSheet provides the Service "as is" and "as available" without warranties of any kind, either express or implied.
• We do not guarantee that the Service will be error-free, uninterrupted, or secure.
• PropSheet shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
• Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or £100, whichever is greater.
• We are not responsible for any losses or damages resulting from compliance issues, regulatory violations, or disputes with regulatory authorities.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless PropSheet, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) any compliance issues or regulatory violations; or (e) your failure to comply with applicable laws or regulations.

13. Termination

By You: You may terminate your account at any time by canceling your subscription in your account settings or by contacting us. Cancellation takes effect at the end of your current billing period for paid plans.

By Us: We may suspend or terminate your account immediately if:

• You violate these Terms or our Acceptable Use Policy
• You engage in fraudulent, abusive, or illegal activities
• Your account remains inactive for an extended period
• You fail to pay subscription fees when due
• We are required to do so by law

Effect of Termination:

• Upon termination, your access to the Service will cease immediately (for free accounts) or at the end of your billing period (for paid accounts).
• Your data will be retained for 30 days after termination and will be available for export during this period.
• After 30 days, your data may be permanently deleted, and we are under no obligation to retain it.
• You are responsible for exporting your data before termination if needed.
• Provisions of these Terms that by their nature should survive termination will remain in effect.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

Any disputes arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer resident in the European Union, you may also have the right to bring proceedings in your country of residence.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via:

Continued use of the Service after changes become effective constitutes acceptance of the modified Terms.
